PetPoint Terms of Service
1. Who we are and what this is
1.1 These Terms of Service ("Terms") govern the use of PetPoint — a software service for grooming businesses that includes a CRM, salon websites with online booking, and related features ("Service"). The Service is provided by [Seller legal name], [ENI / Unipessoal Lda], NIF [number], [address], Portugal ("PetPoint", "we", "us"). Contact: support@[domain].
1.2 By creating an account or using the Service you, on behalf of the business you represent ("Customer", "you"), accept these Terms, the Data Processing Agreement and acknowledge the Privacy Policy. You confirm that you are authorised to bind that business.
1.3 Business use only. The Service is offered only to businesses and professionals for their trade activity, not to consumers. Consumer protection rules that apply only to consumers (including the 14-day right of withdrawal) therefore do not apply.
2. Account
2.1 You must give accurate information, keep your password confidential and make sure everyone you invite to your business account follows these Terms. You are responsible for actions taken in your account.
2.2 The person who creates the business is its owner. Every business must have at least one active owner. Owners manage the subscription, roles and data of the business.
2.3 Tell us immediately at support@[domain] if you suspect unauthorised access.
3. Plans, Free plan and limits
3.1 The Service is offered in plans (currently Free, Solo, Salon and Business). Features, limits and prices are shown on our pricing page at the time you subscribe.
3.2 Free plan: one salon, one service provider, up to 20 clients and up to 2 pets per client, a salon website with a PetPoint badge; no inventory, finance or integration features. We may change Free plan limits or features, or discontinue the Free plan, with at least 30 days' notice. We never delete your data because of a change of limits.
3.3 When you reach a limit, you cannot add more items of that type until you upgrade or remove items. If your paid subscription ends or a payment fails, your business moves to Free plan limits: existing data is kept, but creating new items above the limits is blocked and extra providers are hidden from online booking.
4. Prices, payment and taxes
4.1 Paid plans are billed in advance, monthly or yearly, in euros, through our payment provider Stripe. By subscribing you authorise recurring charges to your payment method until you cancel.
4.2 Prices exclude VAT. VAT is added where applicable; for business customers in other EU countries with a valid VAT number, the reverse-charge mechanism applies. You must provide a correct business name, address and VAT/tax number; you are responsible for consequences of incorrect tax information.
4.3 Free trial: if a plan includes a trial, you will be charged at the end of the trial unless you cancel before it ends.
4.4 Price changes: we will notify you at least 30 days before a price change takes effect. The new price applies from your next billing period after that date. If you do not agree, you may cancel before it applies.
4.5 Late payment: if a payment fails, we will try again and notify you. If it is still unpaid after [14] days, your business moves to Free plan limits under section 3.3.
5. Cancellation and refunds
5.1 You can cancel at any time in the "Subscription" section of the CRM. Cancellation takes effect at the end of the current billing period; you keep paid features until then.
5.2 Fees already paid are not refundable, including for partial periods, unused features or downgrades, except where required by law or where these Terms say otherwise (for example section 10.2 and section 6.2 of the DPA).
5.3 Upgrades take effect immediately and are charged pro rata; downgrades take effect at the next billing period.
6. Your data
6.1 You own the data you put into the Service ("Customer Data"). You grant us the rights needed to host, process and display it to provide the Service.
6.2 For personal data of your clients and staff you are the controller and we are your processor; the DPA applies. You are responsible for having a lawful basis, for informing your clients (your salon website shows a privacy notice you complete from our template), and for answering their requests using the tools in the Service.
6.3 Do not enter special categories of personal data (such as health information about people), card numbers or passwords into free-text fields.
6.4 Export and deletion: you can export your business data at any time. If you close your business account or these Terms end, you have 30 days to export your data; we then delete it within 90 days, and backups are overwritten within 30 days after deletion.
6.5 We may use aggregated, anonymous statistics about use of the Service (that do not identify you, your clients or your staff) to operate and improve it.
7. Your obligations and acceptable use
You must not: break the law or other people's rights through the Service; send spam or unsolicited messages to people who did not agree to receive them; upload malicious code; try to access other businesses' data, probe or overload the Service; resell the Service without our written agreement; or use the Service to build a competing product.
Invoices and tax compliance of your business: you are responsible for issuing legally valid invoices to your clients under the rules of your country. Unless the Service states that a document is issued through a certified invoicing provider, documents generated by PetPoint (such as visit summaries or receipts) are not tax invoices.
8. Availability, support and changes
8.1 We work to keep the Service available and secure but provide it "as is" and "as available", without any service level commitment. Maintenance, updates, provider outages and events outside our control may interrupt the Service.
8.2 Support is provided by email on a best-effort basis.
8.3 We continuously improve the Service and may add, change or remove features. If we remove a substantial paid feature you rely on, we will tell you in advance and you may cancel and receive a pro-rata refund of the prepaid unused period.
9. Liability
9.1 Nothing in these Terms limits liability for wilful misconduct (dolo), gross negligence (culpa grave), death or personal injury, or any liability that cannot be limited under applicable law.
9.2 Subject to 9.1, we are not liable for indirect or consequential damages, including lost profits, lost bookings, lost revenue or loss of goodwill, nor for damages caused by your own actions, your staff, third-party services you connect, or events outside our reasonable control.
9.3 Subject to 9.1, our total liability arising from the Service in any 12-month period is limited to the fees you paid us in those 12 months, and to €100 if you use only the Free plan.
9.4 You are responsible for the content you enter and for your relationship with your clients, and you will indemnify us against third-party claims arising from your breach of these Terms or of data protection law.
10. Suspension and termination
10.1 You may stop using the Service and close your business account at any time.
10.2 We may suspend or terminate your account if you seriously or repeatedly breach these Terms, do not pay, or if required by law, after notice where reasonable. We may also end the Service as a whole with at least 90 days' notice and a pro-rata refund of prepaid unused fees.
10.3 Section 6.4 (export and deletion) applies after termination.
11. Changes to these Terms
We may update these Terms. For material changes we will notify account owners at least 30 days in advance and ask for acceptance on the next sign-in; if you do not agree, you may cancel before the change takes effect. Each version has a number and date; we record which version you accepted and when.
12. Law and disputes
These Terms are governed by Portuguese law. The courts of [Lisbon / the seat of PetPoint] have exclusive jurisdiction, without prejudice to mandatory rules. These Terms are available in English and Portuguese; in case of discrepancy, [the Portuguese version prevails for customers established in Portugal and the English version otherwise].
13. Other
If any provision is invalid, the rest remains in force. You may not transfer your rights under these Terms without our consent; we may transfer them as part of a sale or reorganisation of our business with notice to you. Notices to you are sent to the business owner's email.
